1. About SourceUp India

SourceUp India Private Limited is a business services company offering product sourcing, packaging solutions, website & IT development, social media marketing, business legal support, Fundraising Services, and business consultancy. Registered office: Block-A, 606 Prahladnagar Trade Center, B/H Titanium City Center, Vejalpur, Ahmedabad, Gujarat 380051.

2. Minimum Order Value

All product sourcing and packaging orders are subject to a minimum order value of ₹1,00,000 (Rupees One Lakh). Orders below this threshold will not be accepted unless otherwise agreed in writing by SourceUp India.

3. Quotations and Orders

• All quotations provided by SourceUp India are estimates based on the specifications shared by the Client at the time of enquiry and are valid for the period stated in the quotation.
• An order is confirmed only once the Client has approved the final quotation in writing (email/WhatsApp/signed document) and made the applicable advance payment.
• Any change in specifications, quantity, or design after order confirmation may result in revised pricing and timelines.

4. Payment Terms

• Payment terms will be specified in the order confirmation/invoice for each transaction (e.g., advance and balance split).
• All payments made to SourceUp India are non-refundable once processed, except as expressly provided under Section 6 (Quality, Damage & Refund Policy) of these Terms.
• SourceUp India reserves the right to pause or cancel production, sourcing, or delivery of an order if payment is not received as per the agreed schedule.

5. Delivery

• Estimated delivery timelines will be shared at the time of order confirmation and vary depending on the product, sourcing origin, and order volume.
• Delivery timelines are estimates and not guarantees; SourceUp India is not liable for delays caused by manufacturers, customs, logistics partners, force majeure events, or circumstances beyond its reasonable control.
• Risk in the goods passes to the Client upon delivery to the address provided by the Client.

6. Quality, Damage & Refund Policy

This section governs all claims relating to product quality or condition upon delivery.

• Inspection on delivery: The Client must inspect the product(s) immediately upon delivery, at the doorstep, before accepting/signing for the delivery.
• Valid claims: A refund or replacement will be considered only if, upon delivery, the product is found to be:
  • (a) physically damaged in transit, or
  • (b) not matching the quality/specifications approved by the Client at the sampling/approval stage.
• Claim process: Any such claim must be raised at the time of delivery, with photographic/video evidence, and reported to SourceUp India within 48 hours of delivery. Claims raised after this window, or after the product has been used, altered, or accepted without documented objection at the time of delivery, will not be considered.
• No refund or replacement will be provided for:
  • Change of mind after order confirmation or after delivery
  • Minor variations that are inherent to the manufacturing process and within industry-accepted tolerances
  • Damage caused after delivery due to improper handling, storage, or use by the Client
  • Orders where the Client approved the sample/specification and the delivered product matches that approved sample/specification
• Where a claim is found valid by SourceUp India after review, the resolution (refund or replacement) will be at SourceUp India's discretion based on the nature of the issue.
• Outside of a valid claim under this section, all sales are final and payments are strictly non-refundable.

7. Client Responsibilities

• The Client is responsible for providing accurate specifications, artwork, quantities, and delivery details.
• SourceUp India is not liable for losses arising from incorrect or incomplete information provided by the Client.

8. Intellectual Property

All content on the Site — including logos, designs, text, and graphics — is the property of SourceUp India Private Limited and may not be reproduced without prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law, SourceUp India's total liability for any claim arising from an order shall not exceed the amount paid by the Client for that specific order. SourceUp India shall not be liable for any indirect, incidental, or consequential losses, including loss of business or profits.

10. Service-Specific Terms

For services beyond product sourcing and packaging (website & IT development, social media marketing, business legal, Fundraising Services, and business consultancy), separate scope-of-work documents, timelines, and payment terms will apply as agreed in writing for each engagement, in addition to these general Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Ahmedabad, Gujarat.

12. Changes to These Terms

SourceUp India reserves the right to update or modify these Terms at any time. Continued use of the Site or placement of an order after changes are posted constitutes acceptance of the revised Terms.
